GENERAL TERMS AND CONDITIONS OF ONLINE SALE

The goods covered by these general terms and conditions are offered for sale by Borgoni S.r.l., headquartered in Via Gallo 760, 47522 Cesena (FC), Italy, registered with the Chamber of Commerce of Forlì-Cesena under VAT and Tax Code n. 04784660401.

1) DEFINITIONS AND OBLIGATIONS OF THE PARTIES

For the purposes of this agreement, the expression “online sales contract” refers to a distance sales agreement relating to the products of Borgoni S.r.l., entered into between this company and the Buyer within the framework of a distance selling system through telematic means organized by Borgoni S.r.l.

The term “Buyer” refers to the natural person (consumer) who purchases the goods covered by this contract for purposes not related to any commercial or professional activity.
The term “Borgoni S.r.l.” refers to the company identified above, which provides the goods and services offered on its website.

The Buyer expressly declares that the purchase is made for purposes unrelated to any business or professional activity.

2) SUBJECT OF THE CONTRACT

Through this contract, Borgoni S.r.l. sells and the Buyer purchases, via electronic means, the products indicated and offered for sale on the website www.borgoni.net.
The products described above are presented in detail on the page: www.borgoni.net/products.

Borgoni S.r.l. undertakes to describe and display the products offered for sale as accurately as possible. However, small variations between the images, descriptions, and the actual product may occur (for example, in packaging).

3) FORMATION OF THE CONTRACT

The contract between Borgoni S.r.l. and the Buyer is concluded exclusively online through the Buyer’s access to the website www.borgoni.net, following the steps and instructions provided to formalize the order and complete the purchase.

4) CONCLUSION AND EFFECTIVENESS OF THE CONTRACT

The online sales contract is deemed concluded upon receipt by the Buyer of an order confirmation email from Borgoni S.r.l.
The confirmation email will contain the Buyer’s details, the order number, a summary of the ordered products, the total price including delivery costs, and the delivery address.

The Buyer undertakes to verify the correctness of the personal data contained therein and to promptly communicate any corrections by email to info@borgoni.net.

The contract shall not be considered perfected and effective unless this confirmation email is received.

5) PAYMENT METHODS AND REFUNDS

Payments by the Buyer may be made using one of the following methods:

  • Credit card (where available)
  • PayPal
  • Bank transfer (where available)
  • Cash on delivery (where available)

For payments made by bank transfer, the purchased goods will be shipped only after confirmation of payment received on the bank account indicated by Borgoni S.r.l. in the order confirmation.

Any refund to the Buyer will be made using one of the methods offered by Borgoni S.r.l. and chosen by the Buyer, promptly and, in case of withdrawal, within 30 days from the date on which Borgoni S.r.l. becomes aware of the withdrawal.

All communications regarding payment occur on secure lines protected by encryption systems and are guaranteed by the payment providers involved.

6) DELIVERY TIMES AND METHODS

Borgoni S.r.l. will deliver the ordered products to the address indicated by the Buyer through a courier service or postal carrier, as specified in the order confirmation email.

Delivery times vary according to destination, but typically take place within 3–14 working days from the order confirmation.
Shipping schedules and any temporary suspension of deliveries will be communicated by mail.

7) PRICES AND QUANTITIES

All product prices displayed on www.borgoni.net are expressed in euros (€) and constitute a public offer pursuant to Article 1336 of the Italian Civil Code.
Prices include VAT but exclude shipping costs, which are specified separately before checkout.

In the event of a system or typographical error leading to an incorrect price, Borgoni S.r.l. reserves the right to cancel the order and promptly refund any amount paid within 14 days.

 8) DISPONIBILITÀ DEI PRODOTTI

Product availability on the website is indicative and not binding.
If a product ordered is unavailable, Borgoni S.r.l. will promptly notify the Buyer by email, proposing either an alternative delivery time or a full refund of the amount paid.

9) LIMITATION OF LIABILITY

Borgoni S.r.l. assumes no liability for service interruptions due to force majeure, internet malfunctions, or fraudulent use of payment methods by third parties not attributable to Borgoni S.r.l.

10) LIABILITY FOR DEFECTS AND DAMAGES

Borgoni S.r.l. shall not be held liable for any damages arising from defective products, except in cases covered by applicable consumer protection laws.

11) WARRANTY AND CUSTOMER SERVICE

Borgoni S.r.l. guarantees all products against manufacturing defects for a period of two (2) years from the date of delivery.
The Buyer must report any defects within two (2) months of discovery.

12) BUYER’S OBLIGATIONS

The Buyer agrees to pay the price of the purchased goods within the terms and by the means indicated in the order and to retain a copy of the confirmation email as proof of purchase.

13) RIGHT OF WITHDRAWAL

The Buyer has the right to withdraw from the purchase within 14 working days from the date of receipt of the goods, without penalty and without specifying any reason.

Returned products must be in their original condition and packaging.
Return shipping costs are the responsibility of the Buyer.
Borgoni S.r.l. will refund the full amount paid within 30 days of receiving the withdrawal notice.

14) TERMINATION CLAUSE

Failure by the Buyer to pay or by Borgoni S.r.l. to deliver the goods constitutes grounds for automatic termination of this contract, pursuant to Article 1456 of the Italian Civil Code.

15) DATA PROTECTION AND PRIVACY

Borgoni S.r.l. protects the privacy of its customers and guarantees that the processing of personal data complies with EU Regulation 2016/679 (GDPR) and applicable Italian law.

16) STORAGE OF THE CONTRACT

Pursuant to Article 12 of Legislative Decree 70/2003, Borgoni S.r.l. informs the Buyer that each order is stored in digital or printed form at the company’s registered office in compliance with confidentiality and security standards.

    18) DISPUTE RESOLUTION

    Any dispute arising from this contract shall be submitted to the Chamber of Commerce of Forlì-Cesena for attempted mediation.
    If mediation fails, jurisdiction shall lie exclusively with the court of the Buyer’s place of residence or domicile, if located within Italian territory.

    19) APPLICABLE LAW

    This contract is governed by Italian law.
    For any matters not expressly provided herein, the provisions of Legislative Decree N. 206/2005 (Consumer Code) and Legislative Decree N. 70/2003 (Electronic Commerce) shall apply.

    20) FINAL CLAUSE

    This contract replaces and supersedes any previous written or oral agreement between the parties concerning the same subject matter.
